Membrance – General Terms & Conditions

These Terms and Conditions (“Terms”) govern the purchase and use of Membrance’s website, digital templates, licensing arrangements, and personalised funeral stationery services. By accessing our website, purchasing a product, or using any Membrance template or service, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use our services.
Quick Licence Summary (Plain English)
Each Membrance Canva template comes with a single-use licence.
You may create one (1) finished design only, for one funeral or one client.
You must not reuse the template for another funeral, client, or occasion.
You must not resell, share, or distribute the template or finished design.
You must not copy or reuse any part of the design (layouts, fonts, colours, or elements).
Funeral homes and agencies must purchase a separate licence for each client or design, unless agreed in writing.

2. Eligibility and Use
You confirm that:
You are at least 18 years old, and
You have the authority to enter into a legally binding agreement, whether acting as an individual or on behalf of a business, funeral home, or agency.
3. Products and Services
Membrance provides:
Personalised funeral stationery design and print services; and
Digital design templates made available via Canva or similar platforms.
All products are either fully personalised or licensed for limited use as set out below.
4. Licence to Use Membrance Templates
4.1 Grant of Licence
When you purchase or are granted access to a Membrance Canva template, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the template to create one (1) final design only.
This licence applies equally to:
Individual consumers; and
Businesses, funeral homes, marketing agencies, or any other organisations.
4.2 Permitted Use
You may:
Edit the template solely to create one funeral-related design for a single end use (e.g. one funeral service);
Use the completed design for personal or client use only, depending on your purchase.
4.3 Prohibited Use
You must not, under any circumstances:
Create more than one finished design from the same template;
Reuse the template for multiple funerals or clients;
Share, distribute, sublicense, or transfer the template or any part of it;
Resell, rent, or commercially exploit the template or finished design;
Use the template or finished design as part of a design library, bundle, or service offering;
Extract, copy, or reuse any component part of the template, including but not limited to layouts, typography styles, colour schemes, icons, decorative elements, or structure;
Modify the template for the purpose of creating derivative works.
4.4 Funeral Homes and Agencies
Funeral homes, agencies, and professional service providers must purchase a separate licence for each individual design or client use, unless a separate written licensing agreement has been agreed with Membrance.
No bulk, unlimited, or multi-use licence is granted unless expressly confirmed in writing by Membrance.
5. Intellectual Property
All Membrance templates, designs, content, branding, and materials are protected under UK copyright law and international intellectual property laws.
Membrance retains full ownership and copyright of all templates and designs at all times. No ownership rights are transferred to you.
Any unauthorised use may result in:
Immediate termination of your licence;
Legal action; and
Claims for damages or loss.
6. Personalised Products and Refunds
Personalised products are made to your specification and are exempt from the right to cancel under the Consumer Contracts Regulations 2013.
Refunds or replacements will only be offered where products are faulty, damaged, or incorrect due to an error by Membrance. Please refer to our Returns & Refunds Policy for full details.
7. Proof Approval
Where proofs are supplied, it is your responsibility to check all content carefully before approval. Membrance accepts no liability for errors present in an approved proof.
8. Limitation of Liability
To the fullest extent permitted by UK law, Membrance shall not be liable for:
Indirect, incidental, or consequential losses;
Loss of profit, business, or reputation;
Errors resulting from customer-supplied information.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
9. Termination
Membrance reserves the right to terminate or suspend access to templates or services where these Terms are breached.
Upon termination, all licences granted immediately cease.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
